Martine Ventello
Associate
Martine Ventello concentrates her practice in the areas of corporate and securities law, with an emphasis on asset management and securities offerings matters. Martine frequently advises private investment fund sponsors on the formation, structuring, marketing and fundraising, negotiation, and ongoing operations of private funds. The private funds Martine advises implement a variety of investment strategies and structures, including hedge funds, private equity funds, venture capital funds, funds of funds, natural resource funds, real estate funds, and other alternative assets.
She routinely advises clients on SEC and state investment adviser and private fund regulation, Investment Advisers Act compliance programs, annual reviews and ongoing compliance matters, and regulatory examinations and investigations. She also counsels on managers, advisers, and sponsors in connection with seed and strategic funding arrangements, funds-of-one, separately managed account arrangements, general capital-raising matters, and other alternative investment relationships.
Martine also represents institutional investors, funds of funds, and family offices in connection with their investments in private funds, co-investments, and secondary transactions. She also has experience advising on M&A transactions involving asset management clients.
Before joining Davis Graham, she was a student honors intern at the U.S. Securities and Exchange Commission and a summer associate with Partners Group, a Swiss-based global private equity firm. While earning her law degree, Martine worked as a Senior Compliance Analyst at Resource Capital Funds, a mining-focused alternative investments firm. Earlier in her career, she was Assistant Vice President of Compliance for Solus Alternative Asset Management LP, a hedge fund adviser focused on event-driven, distressed, and special situation investments in New York.
Martine holds a J.D. from the University of Denver Sturm College of Law, where she received a number of merit-based scholarships and awards. She also has a B.A. in Government & Law and History from Lafayette College. During her undergraduate program, she studied abroad in London and was a law clerk with Lomax Lloyd-Jones Solicitors.
