  • Where Are We Now and Is There Anything We Should Be Doing?

    The Status of Recent Federal Rulemakings on Operations and Royalty Reporting and Payment

    Over the last 18 months, Bureau of Land Management and Office of Natural Resources Revenue rules have been finalized, appealed, put on hold in part, or withdrawn entirely. Although these stop-start, on-again/off-again efforts can be difficult to follow, they raise important compliance issues for operators and royalty reporters and payors. Please join us for a discussion of the status of the following rules, their impacts on federal royalty reporting and payment, and what operators can and should be doing while we are waiting for further developments:

    • BLM’s venting and flaring rule, including its provisions related to beneficial use of production;
    • Rules replacing Onshore Orders Nos. 3, 4, and 5, including off lease measurement and commingling requirements; and
    • ONRR’s royalty valuation rule, including renewal of the Royalty Policy Committee and the notice seeking comment on the proposed rulemaking to modify the 1988 rule in conjunction with repeal of the 2016 rule.

  • CEO Pay Ratio Workshop

    As we head into the fall and winter, most public companies should be starting to “gear up” to include CEO pay ratio disclosure in their 2018 proxy statements. Please join us for a presentation and workshop where we will walk through the practical considerations facing public companies as they prepare their pay ratio calculation and disclosure for the first time. We have found that the best way to understand the pay ratio rule is through examples, so the workshop will contain a number of them – from simple calculations of the ratio to examples illustrating some of the most complex issues companies face in identifying their “median employee.” We’ll also arm you with a proposed timeline and suggested action items public companies should be taking to prepare for the upcoming disclosure.

  • Loss Prevention: Starting Off on the Right Foot and Staying There

    This program offers an overview of the law firm liability terrain based on a thirteen-year study of claims involving the approximately 275 law firms and 68,000 lawyers represented by Aon Risk Solutions. The speakers will focus on the primary causes of claims against law firms (i.e., dishonest clients, conflicts of interest, fraud and misrepresentation, and mistakes), utilizing several hypotheticals based on actual claims, court decisions, and ethics opinions. The program aims to (re)sensitize lawyers about the importance of risk management, including the use of engagement agreements, good client intake, collaboration, avoiding conflicts of interest, and documenting client communications.
