Davis Graham & Stubbs LLP advises producers, midstream operators, private equity sponsors, utilities, and other energy industry participants across the complete midstream lifecycle – from project development and commercial contracting through acquisitions and divestitures of pipelines, gathering systems, processing facilities, terminals, and other midstream assets and companies.

Our midstream team draws on deep industry knowledge to handle the transactional, regulatory, environmental, and dispute-related matters that arise throughout the ownership and operation of midstream infrastructure. We regularly negotiate gathering, processing, transportation, fractionation, and purchase agreements for crude oil, natural gas, and natural gas liquids, as well as gathering, transportation, purchase, and disposal agreements for produced, fresh, and recycled water. On the transactional side, we structure and execute acquisitions and divestitures of midstream assets and companies and advise on joint ventures, development agreements, and related commercial arrangements.

Our attorneys regularly practice before the Federal Energy Regulatory Commission and state public utility and public service commissions, advising on the regulatory classification of facilities under the Natural Gas Act, Interstate Commerce Act, and state public utility statutes. We handle corridor certificates, tariff approvals, rate cases, pipeline safety matters, temporary waivers under the Interstate Commerce Act, and other FERC-related proceedings.

Our practice extends to pipeline rights-of-way, including BLM rights-of-way under the Mineral Leasing Act; environmental permitting and regulatory compliance for pipelines and other oil and gas facilities; due diligence and transaction execution in connection with midstream acquisitions and divestitures; and mediation, arbitration, and litigation of contract, regulatory, environmental, and other disputes arising from midstream services and assets.
