Trends in Oil and Gas M&A: This presentation will discuss various key provisions of a typical oil and gas M&A transaction, highlight the differences between sell-side provisions and buy-side provisions, and explain the legal rationale behind these provisions. We will also discuss the latest negotiating and drafting trends in oil and gas M&A and what is considered “market.” This discussion will be supported by the data and findings from our survey of over 100 oil and gas M&A transactions entered into over the past four years.

Capital Raising Strategies: The panel will examine how energy investments and financing transactions are being structured, key factors driving market activity, and the challenges parties face in bringing deals to a successful close. Panelists will also discuss common reasons transactions fail and share practical strategies attorneys can employ to identify risks early, navigate obstacles, and help guide deals across the finish line.

Dealmaking Today & Beyond: This panel will explore the trends shaping energy transactions today and the opportunities and challenges that lie ahead. Panelists will discuss how traditional and emerging energy projects are attracting capital, how transactions are being structured to address market uncertainty, and the legal, financial, technological, and policy considerations influencing investment decisions.

Powering the AI Economy: Capturing the Data Center Opportunity. The AI boom is driving unprecedented demand for electricity and transforming the relationship between energy infrastructure and real estate. As data centers scale from tens to hundreds of megawatts—and potentially beyond—access to reliable, affordable and increasingly clean power is becoming one of the most important factors in determining where projects can be developed and financed.

For energy companies, developers and infrastructure investors, this creates a significant opportunity—but also a new set of challenges. Generation, transmission, interconnection, land, water, permitting and regulatory constraints are increasingly intertwined, while customers and investors are demanding greater certainty around both the timing and source of power.

This panel will explore how energy companies and capital providers can capture value from the rapidly expanding data center market, including emerging approaches to generation, renewable energy, storage, transmission, behind-the-meter solutions and other power strategies. Panelists will also discuss the commercial, regulatory, legal and financing considerations that can determine whether a proposed data center moves from a compelling concept to a financeable, operational project.
