  • Davis Graham Webinar: Igniting the Power of “Us” – Exploring Our Roles in the Important Work of Equity, Inclusivity & Diversity

This presentation takes participants on a journey of “deconstructing” the real meaning of equity, inclusivity, and diversity. Participants will discover facts and gain insights to help us shift from learning and exploring to doing. The session is designed to inspire, intrigue, and energize us during a complex time in history. We will explore everything from definitions, history, power bases, imposter syndrome, and even address “diversity fatigue” – a condition that we all have at some point or another.

  • Davis Graham Webinar: If You Reject Me, Will I Be Gone? Midstream Contracts in E&P Bankruptcies

Beginning with the Sabine decision in 2016, a number of bankruptcy courts throughout the country have issued opinions in E&P bankruptcies addressing whether property dedication provisions in midstream contracts create real property covenants that cannot be rejected under Section 365 of the Bankruptcy Code. The consequences that flow from such decisions are important not just in the context of the various producer bankruptcies but also, going forward, as producers and midstream companies consider how to structure future midstream contracts in light of these decisions. Join us for a discussion of the status of the current case law as well as ways that future contracts may be structured to provide greater certainty for all parties involved.

We will discuss the reasons an E&P company may wish to pursue a sale through bankruptcy; the benefits and limitations of Section 363 sales for buyers, sellers, and other parties; the marketing, auction, and bankruptcy court approval process; and unique considerations for buyers and sellers of oil and gas assets through bankruptcy.
